The following terms of service (these “Terms of Service”), govern your access to and use of the Utopi website and mobile application, including any content, functionality and services offered on or through www.utopi.co or the Utopi mobile application (the “Site”) operated under the brand Utopi, a brand of Listopi LLC, a company registered in the United States (“Utopi”, “we” or “us”).

Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service, and any additional standards, conditions, policies, guidelines and in‑product disclosures (collectively, the “Terms”), which are incorporated herein by reference. You further acknowledge, you have read and understood our Privacy Policy. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Site.

1. Representations and Warranties

This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 and at least 13 years of age, you are only permitted to use the Site through an account owned by a parent or legal guardian with their permission. If you are under 13 you are not permitted to use the Site or the Utopi services.

The Site is available only to users who are not subject to any economic sanctions or trade restrictions.

By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

2. Key Terms

• Clients are users who purchase services on Utopi.

• Specialists are users who offer and provide services on Utopi.

• Services are the activities Specialists offer on Utopi.

• Wallet is the digital balance where Specialist earnings are held before withdrawal.

• Withdrawals are transfers from Wallets to Payoneer accounts.

• Order Page is where Clients and Specialists communicate with each other in connection with an ordered Service.

• Orders are the formal agreements between a Client and Specialist.

• Reviews are ratings and comments left by Clients after services are completed.

3. Overview

• Only registered users may buy and sell on Utopi. In registering for an account, you agree to provide us with accurate, complete and updated information. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password.

• Specialists determine their pricing, at their sole discretion.

• Clients pay Utopi in advance to create an Order.

• For fees and payments please read the Payment section.

• Specialists must fulfill their Orders, and may not cancel Orders on a regular basis or without cause. Cancelling Orders will affect Specialists’ reputation.

• Users may not offer or accept payments using any method other than through Utopi.

• When purchasing on Utopi, Clients are granted all rights for the delivered work, unless otherwise specified by the Specialist.

• Utopi is a marketplace for services offered by Specialists. Clients confirm they will engage all Specialists as independent contractors and will not exercise control over how they perform their work.

4. Specialists

• Specialists create Services on Utopi to allow Clients to purchase them.

• For information about receiving payments, fees and taxes see the Payment section.

• The Specialist’s rating is calculated based on the reviews posted by Clients. Low ratings may lead to suspension of the Specialist’s account.

• Services and/or users may be removed by Utopi from the Site for violations of the Terms, including but not limited to:

  • illegal or fraudulent services

  • copyright or trademark infringement

  • adult oriented or obscene content

  • misleading or deceptive Services

  • spam or poor quality services

• Services may be removed from our listings due to violations of our Terms, poor performance, and/or user misconduct.

• Services are required to have an appropriate image related to the service offered.

• Statements on the Service Page that undermine or circumvent these Terms are prohibited.

5. Clients

• You may not offer direct payments to Specialists outside the Utopi platform.

• Services requested by Clients must comply with Utopi’s standards.

• When placing an Order you may only use funds that were obtained from legal sources.

6. Orders

• Once payment is confirmed, your Order will be created.

• An Order is marked as Complete after it is marked as “Delivered” and then accepted by a Client. An Order will be automatically marked as Complete if not accepted and no request for modification was submitted within 3 days after the Order was marked as Delivered.

• Specialists must meet the delivery time they specified. Failure to do so may harm the Specialist’s rating.

• Specialists must send completed files and/or proof of work when marking the Order as “Delivered.”

• Users are responsible for scanning all transferred files for viruses and malware.

• Clients may use the “Request Revisions” feature if the delivered materials do not match the description.

7. Reviews

• Reviews provided by Clients are an essential part of Utopi’s rating system.

• Reviews will not be removed unless there are clear violations of our Terms.

• To prevent misuse, all reviews must come from legitimate and eligible orders.

• Withholding delivery of services with the intent to gain favorable reviews is prohibited.

8. User Conduct and Protection

• Requesting or providing personal contact details to communicate outside of Utopi in order to circumvent payments is not permitted.

• Utopi does not provide any guarantee of the level of service offered by Specialists to Clients.

• All information and file exchanges must be performed exclusively on the Site.

• Rude, abusive, or improper language, and violent or threatening messages will not be tolerated.

• Users may not discriminate against any other user based on gender, race, age, religion, sexual orientation or otherwise.

• Fraudulent or unlawful use of Utopi is prohibited.

• Multiple accounts created to mislead the community or manipulate reviews are prohibited.

• Utopi may suspend or terminate accounts for violations of these Terms.

9. Intellectual Property

• When purchasing a Service on Utopi, and subject to payment, the Client is granted all intellectual property rights in the delivered work, unless clearly stated otherwise by the Specialist.

• Specialists must ensure they have sufficient rights and permissions to provide the services and materials offered.

• By using Utopi, users agree that content they make public (such as reviews) may be used by Utopi for marketing purposes.

10. Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT, FEATURES, SERVICES AND ANY ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11. Limitation on Liability

IN NO EVENT WILL UTOPI, ITS AFFILIATES OR THEIR SERVICE PROVIDERS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, ANY CONTENT ON THE SITE OR ANY SERVICES OBTAINED THROUGH THE SITE, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

12. Account Deactivation

• Utopi reserves the right to put any account on hold or permanently disable accounts due to breach of the Terms.

• Users with disabled accounts will not be able to sell or buy on Utopi.

• Users may also deactivate their account at any time from their account settings.

13. General Terms

• Utopi may make changes to these Terms from time to time. Continued use of the Site after changes constitutes acceptance.

• These Terms constitute the entire agreement between you and Utopi.

• If any part of the Terms is found unenforceable, the rest remains in effect.
